WHEREAS, the Provider has developed an AI-powered satellite vegetation monitoring system ("GridGuardian") for utility infrastructure management;
WHEREAS, the Client operates electrical transmission and/or distribution infrastructure and wishes to evaluate the GridGuardian system;
WHEREAS, both Parties agree to conduct a pilot project under the "100 km Free Demo Program" to mutually benefit from real-world testing and validation;
NOW, THEREFORE, the Parties agree as follows:
1 PROJECT SCOPE
Pilot Area: The Client shall designate a power line corridor of approximately 100 km (more or less based on mutual agreement) for analysis.
Services Provided: The Provider shall deliver the following at no cost:
- Historical satellite imagery analysis (5-7 years where available)
- Continuous vegetation monitoring using current satellite data
- AI-powered vegetation risk assessment and predictions
- Dedicated dashboard access for the Client
- FieldGuard mobile application for field validation
- Vegetation trimming verification and maintenance recommendations
- Regular consultation and technical support
Duration: The pilot shall run for 6-12 months from platform access delivery, unless terminated or extended by mutual agreement.
2 CLIENT PARTICIPATION
Note: These are not binding obligations, but active participation ensures meaningful results for both parties. We kindly ask that you only proceed if you can allocate the necessary resources.
Data Provision: GIS data for the Pilot Area including geolocation coordinates, asset registry, and right-of-way boundaries (if available).
Recommended Participation:
- Initial requirements gathering and coordination
- Periodic field validation of results (using provided FieldGuard app)
- Monthly or ad-hoc review meetings
- Feedback on system accuracy and usability
3 PROVIDER OBLIGATIONS
Data Security: The Provider commits to:
- Secure data transmission (encrypted connections)
- Access controls limiting visibility to authorized personnel only
- Secure storage on enterprise-grade cloud infrastructure
- Data deletion upon project termination (upon Client request)
Confidentiality: All Client data shall be treated as confidential and shall not be disclosed, shared, or used for any purpose other than performing services under this Agreement.
Service Delivery: The Provider shall complete initial setup within 1-3 weeks of receiving Client data and provide reasonable technical support throughout the pilot.
4 COSTS
This pilot project is provided entirely FREE OF CHARGE to the Client. No invoices, no hidden fees, no obligations.
The Client bears only their own internal costs (personnel time, travel for field validation, etc.).
Should the Client wish to extend services to their full network following a successful pilot, such services would be provided under a separate OPEX-based service agreement.
5 INTELLECTUAL PROPERTY
Provider IP: All rights in the GridGuardian platform, algorithms, and AI models remain the exclusive property of the Provider.
Client Data: All data provided by the Client remains the property of the Client.
AI Training: The Provider may use anonymized, aggregated insights (not Client-identifiable data) to improve its AI models. No raw Client data shall be used for training without explicit consent.
6 LIABILITY
Pilot Nature: The system is provided "as is" for evaluation purposes. The Provider does not guarantee specific accuracy levels during the pilot.
Decisions: The Provider shall not be liable for decisions made by the Client based on system outputs. The Client remains responsible for all vegetation management decisions.
Data Protection: The Provider accepts responsibility for implementing reasonable data protection measures and shall notify the Client promptly of any security incidents.
7 TERMINATION
Either Party may terminate this Agreement at any time with 14 days written notice, without cause and without penalty.
Upon termination, the Provider shall delete or return all Client data within 30 days upon request.
